Introdu��o:

Esc�ndalos recentes envolvendo companhias norte-americanas (ex.: WorldCom, Enron, Adelphi, Tyco, etc.)
resultaram em uma perda significativa na confian�a da divulga��o das demonstra��es cont�beis.
Em resposta aos esc�ndalos cont�beis, o Congresso norte-americano aprovou em julho de 2002 a Lei de Sarbanes-Oxley.
Essa Lei representa a maior mudan�a em governan�a corporativa desde 1934 (securities laws - SEC).
A proposta do Sarbanes-Oxley Act � proteger os investidores atrav�s de:
- Divulga��o das demonstra��es cont�beis mais precisas, oportunas, compreens�veis e intelig�veis;
- Cria��o de um novo �rg�o regulamentador - Public Company Accounting Oversight Board (PCAOB);
- Melhorias nos controles internos da organiza��o.
As se��es mais significativas da Lei s�o:
- Se��o 103 (padr�es e regras de qualidade da auditoria)
- Se��o 404 (avalia��o dos controles internos da companhia)
